Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or your organization) and Brew Labs Media ("Brew Labs," "we," "us," or "our") governing your access to and use of ChurnBlock, including the website at churn.brewlabsmedia.com and all associated dashboards, APIs, and services (collectively, the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms. If you're accepting on behalf of a company or other organization, you represent that you have authority to bind that organization.

2. The Service

ChurnBlock is a customer-retention platform for small and mid-sized businesses: it scores customer churn risk, surfaces the reasoning behind each score, and helps you act on it through email, SMS, and integrations with third-party tools you connect (for example, your CRM, billing, or scheduling software).

Churn risk scores are generated using an AI model (currently Anthropic's Claude) applied to the customer data in your account. Scores and recommended interventions are informational — they are not guarantees of any customer's future behavior, and decisions you make based on them are your own responsibility.

3. Accounts and access

You must provide accurate information when creating an account and keep your login credentials confidential. You're responsible for all activity that happens under your account and for managing which teammates you invite and what access level (role) they're given. Notify us promptly at hello@brewlabsmedia.com if you suspect unauthorized access to your account.

We may suspend or terminate accounts that violate these Terms, that we reasonably believe pose a security risk to the Service or other customers, or for non-payment as described in Section 5.

4. Your data and content

You retain ownership of all data you upload or connect to ChurnBlock, including your contacts, deals, invoices, and any records synced in from third-party integrations you choose to connect ("Customer Data"). You're solely responsible for having the right to upload and process that data, including any consents required from your own customers.

You grant Brew Labs a limited license to host, process, and transmit your Customer Data solely to provide and improve the Service for you — including sending it to third-party subprocessors described in our Privacy Policy (email/SMS delivery, payment processing, AI inference, and the integrations you explicitly connect). We don't sell your Customer Data, and we don't use it to train models for anyone other than generating your own churn predictions.

5. Subscriptions, billing, and cancellation

Paid plans are billed in advance on a recurring (typically monthly) basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for each billing period until you cancel. Fees are non-refundable except where required by law or as we may agree in writing.

You can upgrade, downgrade, or cancel your subscription at any time from the Billing page inside your dashboard. Cancellation takes effect at the end of your current billing period — you keep access until then. If a payment fails and isn't resolved within a reasonable grace period, we may suspend access to paid features until billing is brought current.

6. Acceptable use

You agree not to use the Service to:

  • Violate any law, or any data-protection or consent obligation you owe your own customers.
  • Upload data you don't have the right to use, or that infringes someone else's rights.
  • Send unsolicited, deceptive, or abusive email/SMS through the Service's intervention features.
  • Attempt to breach, probe, or disrupt the security or availability of the Service.
  • Reverse-engineer, resell, or white-label the Service without our written permission.
  • Use the Service to build a directly competing product.

7. Third-party integrations

The Service lets you optionally connect third-party tools (for example, Stripe, PayPal, Square, Google Calendar, Shopify, Twilio, Resend, or industry-specific tools like Jobber, FieldRoutes, WhatConverts, or Zuper). Those services have their own terms and privacy practices, which you're responsible for reviewing. We aren't responsible for the availability, accuracy, or conduct of third-party services, even where we provide an integration to them.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T WARRANT THAT CHURN PREDICTIONS ARE ACCURATE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREW LABS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WON'T EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

10. Termination

You may stop using the Service and close your account at any time by contacting hello@brewlabsmedia.com. We may suspend or terminate your access for a material breach of these Terms that isn't cured within a reasonable time after notice. On termination, your right to use the Service ends; see our Privacy Policy for how long we retain Customer Data afterward.

11. Changes to these terms

We may update these Terms from time to time. If we make material changes, we'll notify account admins by email or in-app notice before the change takes effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of [State/Country to be specified by Brew Labs Media], without regard to conflict-of-law principles.
